Terms and Conditions of Sale and Use

1. Introduction
1.1 Agreement
These Terms and Conditions ("Terms") constitute a legally binding agreement between HARRINGTON BOOKSHOP SDN. BHD., a private limited company incorporated in Malaysia and having its registered office at A-3-3, Plaza Bukit Jalil (Aurora Place), No. 1, Persiaran Bukit Jalil 1, Bandar Bukit Jalil, 57000 Kuala Lumpur, W.P. Kuala Lumpur, Malaysia ("Harrington Bookshop", "we", "us", or "our"), and any person or entity ("you", "your", or "Customer") who accesses, browses, or purchases products or services through our website at www.harringtonbookshop.com or via any authorized online marketplace.
1.2 Acceptance
By using our Website or purchasing any product, you agree to be bound by these Terms, together with our Privacy Policy, Cookie Policy, Refund and Cancellation Policy, Warranty Policy, and Shipping Policy (collectively, the "Policies"). If you do not agree, you must refrain from using our Website or services.
1.3 Modifications
Harrington Bookshop reserves the right to revise or update these Terms at any time. Any modification shall become effective upon publication on our Website. Continued use or purchase following such modification constitutes your acceptance of the revised Terms. You are encouraged to review the Terms periodically.
1.4 Marketplace Application
These Terms apply to all transactions made directly through our Website as well as through our official marketplace stores (including but not limited to Shopee, Lazada, and TikTok Shop). Marketplace-specific conditions apply concurrently to the extent they are not inconsistent with these Terms.
1.5 Consumer Protection: These Terms shall be read subject to the Consumer Protection Act 1999 (Malaysia). Nothing herein shall limit the Customer's rights under Malaysian consumer law.
2. Definitions
For the purpose of these Terms, the following expressions shall have the meanings ascribed below unless the context requires otherwise:
2.1 "Company", "Harrington Bookshop", "we", or "us" refers to Harrington Bookshop Sdn. Bhd., its affiliates, officers, employees, and authorized representatives.
2.2 "Website" refers to www.harringtonbookshop.com, including all subdomains, content, and associated online services operated by or on behalf of the Company.
2.3 "Customer" or "you" means any individual or entity accessing the Website or purchasing products or services from the Company.
2.4 "Product(s)" means all items offered for sale by the Company, including new, used, or professionally refurbished electronic devices and related accessories.
2.5 "Refurbished" means a pre-owned electronic device that has undergone the Company's proprietary multi-step inspection, testing, and restoration process to ensure proper functionality, which may exhibit minor cosmetic imperfections not affecting performance.
2.6 "Marketplace" means third-party e-commerce platforms on which the Company may offer its products, including but not limited to Shopee, Lazada, TikTok Shop, and similar authorized channels.
2.7 "Warranty" means the Company's limited product warranty described in Section 10 of these Terms and detailed further in the separate Warranty Policy.
2.8 "Working Days" means Monday to Friday, excluding public holidays in Malaysia.
3. Eligibility and Account Registration
3.1 Eligibility
Purchases from our Website are intended solely for individuals who have reached the age of majority (18 years in Malaysia) and who possess the legal capacity to enter into binding contracts. If you are below 18 years of age, you must obtain consent from your parent or legal guardian before placing any order.
3.2 Account Creation
You may create an account to facilitate purchases and track orders. When registering, you must provide accurate, current, and complete information. It is your responsibility to maintain the confidentiality of your login credentials and to promptly update any changes.
3.3 Responsibility for Activity
You shall be solely responsible for all actions conducted under your account, whether authorized by you or not. The Company shall not be liable for any loss or damage arising from unauthorized access or use of your account due to your negligence.
3.4 Termination of Account
The Company reserves the right, at its sole discretion, to suspend or terminate any account, refuse service, or cancel orders if it reasonably believes you have violated these Terms, provided false information, or engaged in any unlawful or fraudulent conduct.
4. Permitted and Prohibited Uses
4.1 Permitted Use
The Website is provided solely for lawful personal and non-commercial use, including browsing, purchasing, and reviewing products offered by the Company.
4.2 Prohibited Conduct
You agree not to:
- Use the Website for any unlawful or fraudulent purpose
- Engage in resale or commercial exploitation without written consent
- Interfere with or disrupt the Website's functionality, servers, or networks
- Transmit malware, viruses, or harmful code
- Attempt to gain unauthorized access to any part of the Website or its systems
- Violate any applicable law or regulation
4.3 Suspension and Enforcement
The Company may, without prior notice, restrict or terminate access to any user found to have violated these prohibitions or whose activity is reasonably suspected to threaten the Website's integrity or other users' security.
5. Product Information and Availability
5.1 Product Descriptions
The Company endeavors to provide accurate descriptions, images, and specifications. However, all descriptions and images are for reference only. Minor variations in appearance, particularly for refurbished items showing normal wear, do not constitute defects.
5.2 Refurbished Goods Disclaimer
Refurbished products are not new. They are pre-owned devices that have been inspected, cleaned, tested, and restored to full working condition. Harrington Bookshop warrants that all Refurbished Products are sold in full working order, tested against the highest standards of functionality. Cosmetic imperfections, such as light scratches or casing marks, are normal and not covered under warranty unless functionality is impaired.
5.3 Availability and Errors
Product availability is subject to stock levels. The Company reserves the right to modify, discontinue, or remove any product listing at any time. In the event of an error in pricing, description, or availability, the Company may correct the error and cancel or amend affected orders with appropriate notice and refund, if applicable.
5.4 Intended Use
Products are sold for personal use and are not designed for heavy-duty, industrial, or resale purposes unless expressly stated. Use beyond standard consumer application may void the warranty.
6. Pricing, Promotions, and Currency
6.1 Currency and Taxes
All prices displayed on the Website are denominated in Malaysian Ringgit (MYR) and include all applicable taxes. Delivery or handling charges, if applicable, shall be clearly displayed at checkout before payment confirmation.
6.2 Promotions and Adjustments
Promotional pricing, coupons, and discounts are time-limited and subject to withdrawal at the Company's discretion. Price adjustments after purchase will not be granted retroactively.
6.3 International Orders
For deliveries outside Malaysia, prices do not include customs duties, import taxes, or handling fees levied by destination authorities. The Customer is solely responsible for such charges and any compliance with import regulations.
6.4 Price Errors
In the event of an inadvertent pricing error, the Company reserves the right to cancel any affected order and issue a full refund. Display of a product at an erroneous price shall not constitute a binding offer.
6.5 Right to Revise
The Company may revise product prices at any time without prior notice. Such revisions do not affect confirmed orders already paid in full.
7. Order Acceptance and Contract Formation
7.1 Order as Offer
Each order placed constitutes an offer to purchase the selected products in accordance with these Terms. Orders are not binding until accepted by the Company.
7.2 Acceptance
Acceptance occurs only upon issuance of an order confirmation email or other written acknowledgment from the Company confirming that payment has been received and the order has been processed.
7.3 Rejection or Cancellation
The Company may, acting reasonably, reject or cancel an order prior to dispatch for legitimate reasons, including but not limited to stock discrepancies, pricing or description errors, payment authorization failure, or reasonable suspicion of fraud or misuse.
7.4 Customer Cancellation
You may request cancellation prior to shipment. Once an item has been dispatched, cancellations shall be treated under the Refund and Cancellation Policy.
7.5 Proof of Purchase
The Company's confirmation email or digital receipt shall serve as conclusive evidence of the transaction.
7.6 Record Retention
The Company retains full discretion to maintain order and payment records for compliance, audit, and consumer protection purposes, subject to applicable data protection law.
8. Payment Terms
8.1 Payment Requirement
Payment must be made in full at the time of placing an order, unless otherwise stated in writing by the Company. Orders will not be processed until full payment is received and cleared.
8.2 Accepted Methods
The Company accepts payments through its integrated checkout gateway, currently Razorpay, and through payment systems available on authorized marketplaces (Shopee, Lazada, TikTok Shop, or other listed platforms). Payment options may include credit or debit card, FPX online banking, or other supported digital wallets.
8.3 Secure Processing
All payments are processed via secure third-party payment processors. The Company does not store or retain customers' complete credit or debit card details. Customers acknowledge that such third-party processors are independent entities, and any transaction errors or unauthorized use shall be governed by their respective terms.
8.4 Currency and Fees
All transactions are charged in Malaysian Ringgit (MYR). For foreign customers, any applicable exchange rate conversion or bank transaction fees shall be borne entirely by the Customer.
8.5 Payment Failures
Should a payment authorization fail or be reversed, the Company reserves the right to cancel the order immediately without obligation to deliver the product, and may seek recovery of any goods or costs arising from fraudulent or unauthorized use.
8.6 Fraud Prevention
The Company may, at its discretion, request additional verification, including proof of identity or billing address, to prevent fraudulent transactions. Failure to provide such verification when requested may result in cancellation of the order.
8.7 Final Transaction: Once payment is confirmed, the transaction is final. Any reversal or chargeback initiated without the Company's written consent constitutes a breach of contract. The Company reserves the right to recover costs or suspend further service in such cases.
8.8 Changes: The Company reserves the right to withhold, cancel, or refuse transactions suspected of fraud, voucher abuse, or irregular purchasing behavior. Offenders may be reported to authorities or permanently blacklisted.
9. Shipping, Delivery, and Risk of Loss
9.1 Shipping Territory
The Company ships throughout Malaysia and to selected international destinations, including Singapore. Shipping availability and charges are automatically calculated at checkout based on delivery address.
9.1A Free/Paid Delivery: For selected models, delivery within Peninsular Malaysia is free. Deliveries to East Malaysia, Singapore and other regions are chargeable; shipping costs are calculated at checkout.
9.2 Processing and Dispatch Time
Ready-stock orders are typically processed within one (1) to three (3) working days. Pre-order items may require up to twenty-one (21) working days. Any significant delay will be communicated where possible.
9.3 Delivery Timeline
Delivery times stated on the Website are estimates only and are not guaranteed. While the Company strives for timely dispatch, actual delivery may be affected by courier schedules, customs clearance, or force majeure events.
9.4 Risk and Title
Risk of loss transfers once courier tracking status shows "Delivered," regardless of personal receipt. Customers must report missing parcels within 24 hours of delivery status.
9.5 Incorrect or Incomplete Address
Returned parcels due to incorrect addresses, refusal, or repeated failed deliveries may incur re-delivery fees or have shipping costs deducted from refunds.
9.6 International Deliveries (DDU)
International shipments are made on a Delivery Duty Unpaid (DDU) basis unless otherwise specified. Customers are responsible for payment of any import duties, customs taxes, or other fees imposed by the destination country. Refusal to pay such charges may result in the parcel being returned or destroyed by customs authorities, and the Company shall not be liable for resulting loss or refund.
9.7 Delivery Delays or Failures
The Company shall not be liable for delivery delays or failures caused by factors beyond its reasonable control, including but not limited to courier errors, customs delays, strikes, pandemics, or natural disasters.
9.8 Courier Liability
Customers are advised to select insured shipping where available. Compensation for lost or damaged parcels is limited to the insured value or product price, whichever is lower.
10. Product Warranty Policy
10.1 Warranty Duration
All refurbished products carry a three (3) month limited warranty from the date of delivery covering defects in materials or workmanship under normal intended use. New products, if sold, are covered by the original manufacturer's warranty where applicable.
10.2 Exclusive Remedy—Exchange Only
For refurbished products, the exclusive warranty remedy is a one-to-one exchange for the same model and specification (or closest equivalent where the identical model is reasonably unavailable). No repairs and no partial refunds are provided under this warranty.
10.3 Unavailability
If the identical model or a commercially equivalent unit cannot be provided within a reasonable time, the Company may, at its discretion and without obligation, offer (a) an alternative model of at least equivalent functionality, or (b) a full refund.
10.4 Exclusions
This warranty excludes accidental damage, liquid ingress, misuse, unauthorized modification, normal wear/cosmetic imperfections, and consumables unless expressly stated.
10.5 Non-Transferability & Process
Warranty applies only to the original purchaser. Claims require proof of purchase and prior return authorization.
10.6 Statutory Rights
This summary is subject to your non-excludable statutory rights under Malaysian consumer law. Full terms are set out in the separate Warranty Policy.
10.7 Reserves
The Company reserves the sole right to determine if a product qualifies for warranty coverage. Items found free of manufacturing defect will be returned at the Customer's cost.
10.8 Warning: Warranty does not cover damages caused by drops, liquid ingress, improper storage, use of third-party accessories, or unauthorized software modification.
11. Returns, Refunds, and Cancellations Policy
11.1 Policy Overview
The Company generally accepts returns or exchanges only for defective or incorrect products received, provided the request is made within seven (7) days of delivery. Orders may be cancelled prior to shipment. Returns due to change of mind are not accepted.
11.2 Governing Policy
The comprehensive terms governing eligibility, the refund process, conditions for cancellations, and timelines are detailed in the separate, legally binding Refund and Cancellation Policy.
11.3 Marketplace Transactions
For purchases made through authorized Marketplaces (e.g., Shopee or Lazada), the platform's specific return and refund rules shall apply concurrently, as set out in Section 12.
11.4 Return Requirements
Returned products must include all accessories, original packaging, and intact serial labels. The Company reserves the right to reject or impose restocking fees for incomplete returns.
11.5 Refund Processing
Refunds will be processed to the original payment method within fourteen (14) working days of inspection. Transaction and courier fees are non-refundable.
12. Marketplace Transactions
12.1 Application
These Terms apply to purchases made through authorized marketplace stores operated by the Company. However, where platform-specific terms (e.g., Shopee, Lazada, TikTok Shop) impose stricter or mandatory conditions on refund or delivery, those platform terms shall prevail.
12.2 Warranty Enforcement
Harrington Bookshop's standard warranty applies to all authorized marketplace purchases. Warranty claims may be initiated through the marketplace's dispute resolution system or directly through the Company, as permitted by platform policy.
12.3 Marketplace Policies
Customers purchasing via marketplaces must also comply with the respective platform's order, return, and feedback rules. The Company shall not be responsible for losses arising from the platform's independent enforcement actions or delays.
13. Intellectual Property Rights
13.1 Ownership
All intellectual property rights in the Website, its design, text, images, software, databases, and other content are owned or lawfully licensed by Harrington Bookshop Sdn. Bhd.
13.2 Use Restrictions
You may not copy, reproduce, modify, republish, distribute, display, transmit, or otherwise exploit any content or materials from the Website without prior written consent from the Company.
13.3 Trademarks
"Harrington Bookshop," its logos, and product names appearing on the Website are trademarks or registered marks of the Company. All other marks are the property of their respective owners.
13.4 Third-Party Content
Where third-party trademarks or images are displayed (e.g., Amazon Kindle, Rakuten Kobo), such use is for descriptive reference only and does not imply any affiliation, endorsement, or sponsorship.
13.5 Infringement Reports
If you believe any material on our Website infringes your intellectual property rights, you may submit a written notice to legal@harringtonbookshop.com with sufficient identifying details. The Company will investigate and take appropriate action in accordance with applicable laws.
14. Limitation of Liability
14.1 Consumer Rights and Statutory Guarantees
Nothing in these Terms shall exclude, restrict, or modify any condition, warranty, right, or liability implied or imposed by the law of Malaysia (including the Consumer Protection Act 1999) which cannot lawfully be excluded, restricted, or modified. Your statutory rights remain unaffected by this Section.
14.2 Extent of Liability
Subject to Clause 14.1 and to the fullest extent permitted by Malaysian law, the Company's total liability shall not exceed the purchase price paid by you. The Company shall not be liable for any data loss, software installation errors, or damages resulting from use inconsistent with instructions.
14.3 Exclusion of Indirect Damages
The Company, its directors, officers, employees, or agents shall not be liable for any indirect, consequential, special, or incidental damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunity, whether arising from use or inability to use the product or service, or otherwise.
14.4 Force Majeure
Force Majeure events include but are not limited to natural disasters, epidemics, supplier or courier shortages, strikes, platform outages, and government restrictions.
14.5 Website Availability
The Company does not guarantee that the Website will operate uninterrupted, error-free, or securely. Temporary suspension for maintenance or upgrades shall not constitute a breach of these Terms, and the Company shall not be liable for any loss arising from such temporary unavailability.
15. Indemnification
15.1 General Indemnity
You agree to indemnify, defend, and hold harmless HARRINGTON BOOKSHOP SDN. BHD., its directors, officers, employees, agents, affiliates, successors, and assigns, from and against any and all losses, liabilities, claims, damages, costs, or expenses (including reasonable legal fees) arising out of or connected with:
- Your breach of these Terms or any applicable law or regulation
- Your misuse of the Website, products, or services
- Any infringement of third-party rights resulting from your actions
15.2 Survival
This indemnity shall survive termination of your account and use of the Website.
15.3 Expense Reimbursement
If the Company successfully defends any claim, the Customer shall reimburse reasonable legal, courier, and administrative expenses incurred in the process.
16. Third-Party Links and Services
16.1 Convenience Links
The Website may contain links to third-party websites or services not operated by the Company. These are provided solely for convenience and informational purposes.
16.2 No Control
The Company has no control over and assumes no responsibility for the content, accuracy, or policies of any third-party site. Accessing any linked site is at your own risk.
16.3 No Endorsement
The inclusion of a third-party link or reference does not imply endorsement, partnership, or guarantee of the third party's goods or services.
16.4 Independent Terms
Customers engaging with third-party providers are subject to those providers' separate terms and conditions.
17. Data Protection and Privacy
17.1 Privacy Commitment
The Company values your privacy and handles personal information in accordance with Malaysia's Personal Data Protection Act 2010 (PDPA) and our separately published Privacy Policy, which forms part of these Terms.
17.2 PDPA Notice: Our Privacy Policy serves as the written notice required under Section 7 of the Personal Data Protection Act 2010 (PDPA), informing you of your rights and our processing purposes.
17.3 Processing Purposes
The Company may process personal data for legitimate business purposes including order fulfillment, customer service, warranty management, fraud prevention, and marketing communications (subject to your consent).
17.4 Your Rights
You may withdraw consent or exercise data rights by contacting us at privacy@harringtonbookshop.com or as stated in the Privacy Policy. Withdrawal of consent may limit our ability to provide certain services.
17.5 Security Measures
The Company implements reasonable administrative, physical, and technical safeguards to protect personal information from unauthorized access, disclosure, or misuse. However, no data transmission over the Internet can be guaranteed as completely secure. The Company disclaims liability for breaches that occur despite its adherence to the required security measures under the PDPA 2010.

Use of the Website constitutes consent to our Cookie Policy and marketing communications preferences, which you may manage at any time through your account settings.
18. Intellectual Property Complaints

The Company respects intellectual property rights of others and expects the same from users.

19.2 Mediation
If a dispute remains unresolved within fourteen (14) days of written notice, both parties agree to refer the matter to mediation at the Asian International Arbitration Centre (AIAC) in Kuala Lumpur before court proceedings.
19.3 Exclusive Jurisdiction
All disputes shall be governed exclusively by the laws of Malaysia and heard in the courts of Kuala Lumpur, Malaysia.
19.4 Injunctive Relief
The Company reserves the right to seek injunctive or equitable relief in any competent court to protect its intellectual property rights.
20. Disclaimer of Liability
20.1 Website Content
The Website and all content, materials, products, and services are provided on an "as is" and "as available" basis. The Company disclaims all representations or warranties, express or implied, regarding accuracy, completeness, or fitness for any particular purpose.
20.2 Refurbished Products
All refurbished items are sold as professionally restored devices. Cosmetic wear or minor imperfections not affecting functionality shall not constitute defects or grounds for refund under this disclaimer.
20.3 No Guarantee of Availability
The Company does not warrant that the Website will be uninterrupted, error-free, or secure, or that any defects will be corrected immediately.
20.4 Reliance on Information
Any reliance on information presented on the Website is at your own risk. The Company shall not be responsible for typographical errors, inaccuracies, or omissions relating to pricing or product information.
20.5 Legal Limitations
Nothing in this clause limits or excludes any liability that cannot be limited or excluded under Malaysian consumer law.

24. Waiver
No failure or delay by the Company in exercising any right or remedy under these Terms shall constitute a waiver of that or any other right or remedy. Any waiver must be in writing and signed by an authorized representative of the Company.
25. Entire Agreement
25.1 Complete Agreement
These Terms, together with the Privacy Policy, Cookie Policy, Refund and Cancellation Policy, Warranty Policy, and Shipping Policy, constitute the entire agreement between the Company and the Customer and supersede all prior or contemporaneous understandings or communications relating to the same subject matter.
25.2 Conflicts
In case of conflict between these Terms and any other policy or document, these Terms shall prevail to the extent of inconsistency, except where consumer law requires otherwise.
25.3 Marketplace Conflicts
In case of inconsistency between these Terms and marketplace-specific policies, the stricter consumer-protection clause shall prevail.
27. Affiliate and Loyalty Program
27.1 Program Operation
The Company may, at its discretion, operate affiliate, referral, or loyalty programs ("Programs") rewarding Customers for referrals, purchases, or other qualifying activities.
27.2 Voluntary Participation
Participation is voluntary and governed by the specific Program Terms published by the Company. Points, credits, or commissions have no cash value and are non-transferable unless expressly stated.
27.3 Modification Rights
The Company reserves the right to modify, suspend, or terminate any Program or participant account at any time without prior notice, including for suspected abuse, fraud, or violation of the Program Terms.
27.4 Reward Validity
Rewards are only valid once qualifying transactions are verified and not returned, cancelled, or refunded.
27.5 Final Decision
The Company's decision on all Program matters is final and binding.
28. Pre-Orders and Custom Orders
28.1 Definition
Pre-order or custom items ("Pre-Orders") are products not immediately available for dispatch and will be shipped within the estimated timeframe displayed at checkout or as notified after purchase.
28.2 Fulfillment Timeline
Estimated fulfillment time for Pre-Orders is up to twenty-one (21) working days, subject to supplier availability and shipping conditions.
28.3 Non-Cancellable
Pre-Orders are non-cancellable once confirmed, as procurement and logistics processes begin immediately after payment.
28.4 Delays
The Company will make reasonable efforts to meet estimated timelines but shall not be liable for delays beyond its control, including supplier or courier delays.
28.5 Unavailability
In rare cases where the item becomes permanently unavailable, the Company may, at its discretion, offer an alternative product or a full refund.
29. Service, Repair, and Trade-In Policy
29.1 Services Offered
The Company may offer device inspection, repair, refurbishment, or trade-in services ("Services"). All Services are provided on a best-effort basis and subject to written quotation and customer approval.
29.2 Data Loss Disclaimer
The Company shall not be liable for any data loss, software corruption, or incidental damage occurring during repair, unless caused by proven negligence. Customers are responsible for backing up all data prior to service.
29.3 Replacement Components
Repaired or replaced components may be new, used, or refurbished, at the Company's discretion. Warranty for repaired parts is limited to thirty (30) days from completion, unless otherwise stated in writing.
29.4 Trade-In Evaluation
For trade-in evaluations, all quotes are subject to final inspection upon physical assessment of the device. The Company reserves the right to reject any trade-in found misrepresented or tampered with.
29.5 Abandoned Items
Items uncollected for more than sixty (60) days after completion may be considered abandoned and disposed of without further notice.
